Please read these Terms of Service (“Terms”) carefully before using WizClubs (the “Service”), operated by WizPro Software (“we,” “us,” or “our”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree to all of these Terms, do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you (and the organization you represent, if applicable) and WizPro Software. By creating an account, inviting members, or otherwise accessing the Service, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction), have the legal authority to enter into these Terms on behalf of any organization you register, and agree to comply with all applicable local, state, national, and international laws.

2. Description of Service

WizClubs is a multi-tenant SaaS platform that provides clubs, sports teams, and organizations with tools to manage:

  • Member and contact relationship management (CRM)
  • Event scheduling, RSVP management, and calendars
  • Invoicing, payment collection, and subscription billing
  • Digital forms with e-signature support
  • Surveys and live-results polling
  • Email and push notification communications
  • Document storage and sharing
  • Resource and venue booking
  • Fundraising campaigns
  • Volunteer coordination
  • Analytics and audit logging

We reserve the right to add, modify, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that reduce functionality for paying customers.

3. User Accounts and Responsibilities

3.1 Account registration

You must provide accurate and complete information when creating your account. You are responsible for keeping your account credentials confidential. You agree to notify us immediately at support@wizprosoftware.com if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

3.2 Organization administrators

Each organization has one or more administrators who are responsible for managing members, configuring settings, and ensuring their organization's use of the Service complies with these Terms and applicable law. Administrators are responsible for all actions taken under their organization's account.

3.3 Member accounts

Members invited by an organization administrator may access a limited member portal. Members are bound by these Terms when they access the Service. Organizations that manage minor members are responsible for obtaining all required parental consents.

4. Free Trial

New accounts receive a 30-day free trial with full access to all features. No credit card is required during the trial period. At the end of the trial, a paid subscription is required to continue using the Service. We reserve the right to modify or terminate the free trial offer at any time with prior notice.

5. Payment Terms and Billing

5.1 Subscription fees

Paid subscriptions are billed monthly in advance. Pricing is based on the plan you select at registration or at the time of upgrade. Current plan pricing is displayed on our pricing page at wizclubs.app. We reserve the right to change subscription pricing with 30 days' advance notice to account administrators.

5.2 Payment processing fees

Payments collected from your members through the Service (invoices, fundraising donations, etc.) are processed by WizPay (PayRoc). Standard payment processing fees apply to each transaction and are displayed before you enable payment collection. These fees are separate from your WizClubs subscription fee and are charged to the amount collected.

5.3 Cancellations and refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. You will retain full access to the Service until that date. We do not provide refunds for partial billing periods, except where required by applicable law or at our sole discretion.

5.4 Failed payments

If a subscription payment fails, we will notify you by email and retry the charge. If payment is not received within 7 days of the due date, your account may be downgraded or suspended until payment is resolved.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Transmit or store spam, unsolicited communications, or bulk emails in violation of anti-spam laws.
  • Upload, transmit, or store content that is illegal, defamatory, harassing, threatening, or infringing on intellectual property rights.
  • Attempt to gain unauthorized access to our systems, other accounts, or third-party systems.
  • Introduce malware, viruses, or any code designed to disrupt or damage our systems or users' data.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, sublicense, or otherwise make the Service available to third parties without our written consent.
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure.
  • Collect or harvest personal information from other users without their consent.

We reserve the right to investigate suspected violations of these restrictions and, at our discretion, suspend or terminate access to the Service without notice where necessary to protect the platform or other users.

7. Data Ownership and License

7.1 Your data

You retain full ownership of all data, content, and information you upload or create within the Service (“Your Data”). By using the Service, you grant WizPro Software a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display Your Data solely as necessary to provide the Service to you. We do not claim any ownership over Your Data.

7.2 Data export

You may export your organization's data at any time using the export tools available in the dashboard. We will provide data in standard formats (CSV, PDF) to the extent technically feasible.

7.3 WizPro Software intellectual property

The Service, including all software, interfaces, designs, branding, and proprietary algorithms, is owned by WizPro Software and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or other proprietary materials without prior written consent.

8. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

9. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. We may perform scheduled maintenance (with advance notice where practicable) or may need to perform emergency maintenance to address security or stability issues. We are not liable for any damages resulting from planned or unplanned downtime.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WIZPRO SOFTWARE AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL WIZPRO SOFTWARE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless WizPro Software and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your use of the Service, (b) Your Data, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Termination

13.1 Termination by you

You may terminate your account at any time by contacting us at support@wizprosoftware.com. Upon termination, your access to the Service will be suspended at the end of the current billing period. You may export your data prior to termination using the dashboard export tools.

13.2 Termination by us

We may suspend or terminate your account at any time, with or without notice, if we have reason to believe you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to the security or integrity of the platform or other users. For non-urgent violations, we will generally attempt to contact you before taking action.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, conducted in English, in Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. We will provide at least 14 days' advance notice by email for material changes. The updated effective date will be reflected at the top of this page. Continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you should stop using the Service before the change takes effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WizPro Software with respect to the Service and supersede all prior and contemporaneous agreements. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
